Before you become a member, please read our agreement terms & conditions. All information you submit shall be accurate. Use of this web site constitutes full agreement and acceptance of the terms & conditions set forth in this document. (By registering with streetfresh.com , you are agreeing to the terms described in this agreement.) streetfresh.com reserves the rights to change, modify, add or remove any portion of this agreement, in whole or in part, at any time. Streetfresh.com may suspend, change or discontinue any aspect of this site at any time, including the availability of any feature, data or content. We may also place restrictions and limit certain features, services or access to parts or all of your account without liability.

  1. Streetfresh.com simply acts as a distribution site for your beats, soundbanks and apparel.
  2. Streetfresh is free to join and all transactions are done securely and you can manage your account and profile easily. Sign up today for your free account with unlimited space!

  3. Security
    (a). Users are responsible for the security of their own accounts. A user should not share their account information with others and is responsible for keeping their password secure. Streetfresh.com is not liable for any loss due to the theft or misuse of your account or it's information.
    (b). Any unauthorized use or entry into this web site is illegal and will result in the offender being punished to the fullest extent of the law.
    (c). You acknowledge that transmission to and from this Web Site are not confidential and your Communications may be read or intercepted by others. You acknowledge that by submitting Communications to Company, no confidential, fiduciary, contractually implied, or any other relationship is created between you and Company other than pursuant to this Agreement.
    (d). Streetfresh.com reserves the right to monitor your use on our site; We will never sell or otherwise disclose any personal information or materials received from you for any monetary gain. Your information remains confidential with our company. Signing up as a member of this web site waives any claim for damages, whether direct or indirect, consequential, or punitive, which you may have against streetfresh.com, and you agree to hold harmless and indemnify streetfresh.com from any such claim for damages regardless of cause.
    (e). You represent, warrant and covenant that you shall not upload, post or transmit to or distribute or otherwise publish through Streetfresh.com any materials which:
    · restrict or inhibit any other user from using and enjoying the streetfresh.com network;
    · are unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, offensive, pornographic, profane,     sexually explicit or indecent;
    · constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate law;
    · violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, patent, rights of privacy or publicity or any other proprietary right;
    · contain a virus or other harmful component;
    · contain any information, software or other material of a commercial nature;
    · contain advertising of any kind, or
    · constitute or contain false or misleading indications of origin or statements of fact
    (f). Member Forum
    -Any member who is suspected of making false claims which degrades members of streetfresh.com, as well as the website itself will be terminated without notice or compensation.

    HOW IT WORKS
  4. Each member is entitled to 1 free account with unlimited space and uploading. Members suspected of having more than 1 account based on, but not limited to IP address, will be terminated without commission or refund.

  5. Buyer Payment
    (a). Payments are accepted in the form of Paypal, Visa, Mastercard, American Express, and Discover. Buyer has the option of a digital download and/or have a master copy CD mailed for an extra $10 fee direct from streetfresh.com. Digital master files are available in .mp3 format only. If you wish to obtain the master file in an additional format such as .wav or aiff, you can request a master copy CD upon checkout.
    (b) Your payment will be securely transacted. Once your payment is completed you will be able to download your beat instantly. PayPal accounts are not required to make a purchase.

  6. PRODUCER/ARTIST AGREEMENTS - All beats are sold from streetfresh.com producers on non-exclusive(lease) or exclusive agreements. Non-exclusive (leased) beats grant the purchaser the right to make one master recording for profitable commercial or broadcast purposes. Non-exclusive beats purchased are limited to distributing that recording for no more than 2,500 copies/units. Credit to the producer of the beat must be given if the beat is used for any commercial or profitable purpose. Once a beat has been purchased, that beat may be sold on a non-exclusive basis to another party. Exclusive right beats grant you unlimited commerical recording and broadcasts. You have full rights to record, alter and re-mix the instrumentals. Once an exclusive beat is purchased, no one else can buy the same beat and it will no longer be for sale on the site. Producers cannot resell purchased exclusive beats and instrumentals to any other individual, company or party.
  7. Respective producer will maintain all intellectual property rights and ownership of their NON - EXCLUSIVE beats being digitally distributed through Streetfresh.com . (CLICK HERE) to download the US Copyright SR-22 form. This is not mandatory but highly recommended for your protection. Check with the U.S. copyright office website for current pricing.
    -All EXCLUSIVE beats sold, the buyer retains the rights. A transfer of copyright agreement may be obtained from the copyright owner if they have elected and stated so for that purchase. Please read circular 12 (http://www.copyright.gov/circs/circ12.pdf) for more information and documents. (PLEASE NOTE - A Circular 12 form is the cover letter to a transfer of copyright agreement) A fee may be included into the purchase price by producer for copyright transfers.
  8. Company will not be responsible for the sale of material containing unauthorized samples without the expressed written consent from the copyright holder. Our company hereby acknowledges that all beats placed for sale on streetfresh.com shall remain the property of the seller, until title passes to a buyer through the sale process of exclusive rights. If such beat is not sold, its seller shall retain all rights, duties and liabilities associated with ownership of the beat.

  9. By uploading files, inputting data or engaging in any other form of communication (individually or collectively 'Communications') to streetfresh.com you hereby grant to company a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty free license to use, copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit and otherwise exploit such Communications, in all media now known or hereafter developed. You hereby waive all rights to any claim against streetfresh.com and our host for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with such Communications. This waiver does not and shall not be construed to include beats posted for sale on streetfresh.com. Company hereby acknowledges that all beats placed for sale on company web site shall remain the property of the seller, until title passes to a buyer through the sale process. If such beat is not sold, its seller shall retain all rights, duties and liabilities associated with ownership of the beat.

  10. SELLER FEE'S - For every beat,clothing/apparel, soundbank and any other item sold on streetfresh.com, state sales tax will not be implemented. Joining and creating a acccount and membership on the streetfresh.com network is FREE for buyers and sellers. Streetfresh.com takes a 10% commission of each sale that is not submitted to site as a free product (subject to change with notice to all members). Commissions are automatically deducted from the purchase price when a sale is made. Seller payments are released to the sellers paypal account every friday of each week.

  11. You will abide by any and all additional copyright notices, information, or restrictions contained in any Content on streetfresh.com. Company does not and cannot review all materials posted to streetfresh.com by users, and we are not responsible for any such materials posted by users, especially with respect to message boards currently operative or which Company may at a later date make or cause to become operable. However, streetfresh.com reserves the right at all times to disclose any information as necessary to satisfy any law, regulation or government request, or to edit, refuse to post or to remove any information or materials, in whole or in part, that in streetfresh.com's sole discretion are objectionable or in violation of this Agreement .

    UPLOADING AUDIO INSTRUCTIONS
  12. Availability.
    (a) audio uploads are available for sale when the master files and preview files are uploaded and all required fields have been filled.
    (b) uploads are posted for a unlimited period. Exclusive tracks are removed once purchased.

  13. Your audio materials must be an Instrumental (beat) not a song. Voice tags are allowed.
    (a). Your audio (beat) files be stereo MP3 files or .WAV files encoded at least at 128kbps/44.1khz,and not under 2:30 mins. You will also upload a preview file for each beat that should be no longer than 30 seconds and encoded the same. Voice tags are recommended throughout your preview files.
    (b).You have unlimited space. You may sell as many beats as you want on streetfresh.com.
    (c). You must choose the single genre that best fits the nature of your submission.
    (d). Descriptions must pertain to the specific beat listing you are submitting.
    (e). Beat descriptions should not contain marketing language that promotes non-relevant entities, or any information which provides a method to circumvent the purpose of this website.
    (f). Beat Descriptions should not contain email or website address. We will remove any content that is not suitable for the general public.
    (g). Your preview file will be 30 seconds in length.

  14. SOUNDBANKS AND PATCHES - Soundbanks must be uploaded in a .zip or .rar compressed format. Once your file is uploaded you must upload an .mp3 or .wav audio preview file. Once description and all fields are complete, your sounds will be available for purchase, trade or free, whichever you choose.

  15. SAMPLING - You may post beat that contains sample in it. If you haven't made the sample yourself and it's from someone else is but not limited to, musical compositions, sound recordings, written, you have to somehow obtain rights at least from the publisher, and possibly from the label as well in order to post the beat on the website. If we determine that a producer has violated this rule, the beat posted will be removed from the website without notice or refund of any type.
  16. It is your responsibility to determine whether you have the legal right to use materials that you submit to our site.
  17. If you do not hold the copyright and/or trademark for the composition(s) you are submitting, but you have documented permission from the trademark or copyright holder, please submit written evidence of your permission with your product. We will review your evidence as part of our evaluation process.
  18. If we determine that someone other than the legal copyright or trademark holder (or his or her official agent) has submitted material, we will remove the product from our website without refund and may suspend the members account.
  19. By uploading files, you are agreeing to radio and web promotion of your beats. You will be credited for any promotion, linking back to streetfresh.com or your profile/store.

  20. THE RATING SYSTEM
    (a). Any member who is suspected of purposely rating down other members material will be terminated from this site without notice.

    CLOTHING/APPAREL
  21. Clothing designers who sell apparel on streetfresh.com are solely responsible for prompt shipment to the buyer. Streetfresh.com does not ship any items to buyers and any disputes may also be handled by Paypal. Streetfresh.com will be notified of any disputes and will take appropriate action to protect all customers which may include termination of sellers account. It is good practice for buyers to leave feedback on all items purchased from sellers.
